Project Agreement

The sample agreement shown, is used for all protects to protect both of our intellectual property and ensures a smooth and worry-free transfer of rights.

On this day, (“Effective Date”), this Illustration contract referred to hereinafter as the “Contract,” is by and between:


[Client Name] of [Company or Location], referred to as "the Employer".




Stefanie StDenis of Jupiters Muse, referred to as "the Employee".


As parties to this Contract, the parties mentioned earlier shall hereinafter be referred to collectively as the “Parties” and individually as the “Party.”  



The Employer hires the Employee as a freelance artist/agency. The Employee (and its agency) shall create original output and devote all necessary effort, expertise, attention, and time according to the provisions provided in this Contract (“Services”) for the company in a timely, efficient, and professional manner. 


The Employee hereby agrees that the Services’ performance and as results is considered a “work made for hire.” As such, the Employee shall assign to the Employer all of its rights, interest, and title on the works, including all related intellectual property rights upon receipt of full payment as agreed. No royalties will be collected for the works developed unless agreed upon separately.


This Contract shall commence on the date first written above and shall continue until completion of the agreed upon deliverables and payments.



The Employer agrees to pay ________________to the Employee for the services rendered. The Employer shall pay the Employee 50% at launch of project and the remaining 50% at completion.  Funds are in USD unless otherwise agreed.


The Employee shall submit to the Employer a formal invoice including detailed charges which is to be paid within 5 days of receipt unless otherwise agreed. Payments can be made via PayPal, E-Transfer or other arranged methods as agreed.
If the Employer fails to pay on the agreed date, the Employee may choose to invoke a late payment rate of 10% per month.


Employee submits that they will work to ensure full satisfaction of the Employer on all works developed, provided the process remains reasonably productive and feasible.  Generally, 1-3 revisions will be included with the full input of the Employer. Any additional edits beyond this will be at the discretion of the Employee.


The Employee acknowledges that they may receive or have access to confidential information, photos, concepts, manuscripts, characters etc. and agrees to keep this information under strict confidence within the agency and not to post or share publicly without written consent.  This excludes the use of portfolio examples upon completion of the project unless otherwise specified.


Both Parties acknowledge and agree that it fully understands the terms and conditions outlined in this document and its effect. The Parties accept and understand the purpose of this Contract and agree to abide by the terms and conditions until its completion.


IN WITNESS WHEREOF, The Employer and Employee have executed and acknowledged this Graphic Designer Contract, both Parties by its representative, as of the day and year set forth below.
